1Who this is between
These terms are an agreement between Scail Capital LLC (“SCAIL”, “we”) and the person or business that accepts them (“Partner”, “you”) — either a SCAIL workspace owner accepting inside the product, or a community, course or group operator accepting a copy we sent. They govern the SCAIL referral program only. If you also use SCAIL as a customer, the Terms of Service govern that use and nothing here changes them.
2What you get
A unique referral code and link (scailapp.com/r/YOURCODE). A visitor who uses it is attributed to you for 90 days by a browser cookie, or immediately if they sign up from the link. You can see visits, signups, paying workspaces and every commission in your workspace’s Settings → Refer an operator panel, or on request if you have no workspace.
3Attribution — whose referral it is
A new workspace is attributed to the referral code present when it was created: the code in the link, or the code in the cookie, in that order. First code wins; a later visit through another partner’s link does not reassign a workspace. A workspace whose owner already had a SCAIL account, or that was provisioned by SCAIL directly, is not a referral unless we say so in writing. You cannot refer your own workspace, an affiliate of your business, or a workspace you control.
4What we pay
4.1 The schedule. Unless your partner record says otherwise, the current program pays: Starter $30 · Pro $50 · Scale $100 · Enterprise $150 per paid month for as long as they stay paid. “Paid month” means an invoice for a SCAIL subscription that the referred workspace actually paid. Trials, comped workspaces, credit packs, set-up fees, taxes and refunded invoices earn nothing.
4.2 When it is owed. A commission is created when the referred workspace’s invoice is paid, held for 30 days (our refund window), then approved. If the invoice is refunded or charged back during the hold, the commission is void. We pay approved commissions monthly, in arrears, to the payout method on your record, once your approved balance is at least $50; smaller balances roll forward.
4.3 Negotiated deals. If we agreed a different rate, a complimentary or discounted workspace, a months cap, or anything else specific to you, it is written on your partner record and it prevails over 4.1. A perk given in exchange for promotion may be withdrawn if the promotion stops (§6).
4.4 Changes. We may change the schedule for future referrals by publishing a new version of these terms. Workspaces already attributed to you keep the deal that was in force when they signed up.
4.5 Taxes. Commissions are paid gross. You are responsible for your own taxes; we will collect a W-9 (or W-8) before the first payout and issue a 1099 where the law requires one.
5How you may promote SCAIL
You may share your link on your own website, in your own community, course, newsletter, social accounts and direct conversations. You must:
- Say only what is true and what we say ourselves. No promised results, no “guaranteed deletions”, no claims about what a credit repair business can earn using SCAIL, and no statement that SCAIL is a credit repair organization or provides credit repair services to consumers — it does not.
- Disclose that you may earn a commission, clearly and near the link, wherever the FTC Endorsement Guides or any similar rule require it.
- Send only to people who chose to hear from you. No unsolicited bulk email or text, no purchased lists, and nothing that would break CAN-SPAM, the TCPA or your platform’s own rules.
- Not bid on “SCAIL”, “scailapp” or our other marks in paid search, not register domains or handles containing them, not present yourself as SCAIL, and not run ads that could be mistaken for ours.
- Not offer cash, rebates or your own discounts to induce a signup, not create workspaces on other people’s behalf, and not use bots, incentivized traffic or anything else that manufactures signups.
- Use our name and logo only as we provide them and only to identify SCAIL; you gain no rights in them.
6Suspension, void and termination
Either of us may end this agreement at any time with written notice (email is fine). We may pause your link, void commissions and end the agreement immediately if you breach §5, if signups attributed to you are fraudulent, self-dealing or manufactured, or if a referred workspace is suspended for violating our Acceptable Use Policy. On termination for any reason other than your breach, commissions already approvedare paid on the next run; nothing accrues afterward, and a complimentary workspace given for promotion converts to a paid plan or closes at the end of its current month.
7You are independent
You are an independent referrer, not our employee, agent, reseller or representative. You cannot bind us, quote prices other than those on scailapp.com, promise features, or negotiate on our behalf. You are not selling SCAIL; you are introducing people who may then buy it from us on our terms.
8Confidentiality and data
Anything we tell you that is not public — roadmap, pricing before it is published, the identity of other partners, your own funnel numbers beyond what you choose to share — stays confidential. You will not receive any consumer data from SCAIL and must not ask a referred workspace for its clients’ data. Our Privacy Policy covers what we collect from you and from visitors who use your link (a hashed IP and the code).
9Limits
The program is provided as is. Our whole liability to you under these terms is the commissions properly owed and unpaid. Neither of us is liable to the other for indirect, consequential or lost-profit damages. You will indemnify us against claims arising from your promotion (your statements, your emails, your ads).
10The rest
California law governs; disputes go to the state or federal courts in Orange County, California. These terms, your partner record and any written deal we both signed are the whole agreement about the program. If a part is unenforceable the rest stands. We may assign this agreement to a successor of the SCAIL business; you may not assign it without our consent. Notices to us: legal@scailapp.com.
